Quality Services Group GQS have announced their latest acquisition. Trident Technical Services Pte Ltd (TTS) is the latest company to join GQS and will be rebranded as GQS Singapore as part of their continued strategic expansion in the South-East Asia region.

David Cross, GQS Managing Director commented:

We are delighted Trident, and especially Nazryn, have joined GQS as its important to continue to build on our technical expertise and Nazryn is a very experienced and capable individual, especially in relation to Subsea Trees and associated equipment. Over the past 10 years or so that he has supported us, he must have been involved in the testing, inspection, and release of literally hundreds of Trees for our clients, most notably from Australia and the UK. Having someone with his background support and manage such scopes going forward within our company, only strengthens the technical support we can give to clients in addition to the typical inspection side of things.

Nazryn Nazar, Trident Technical Services Director commented:

Trident is very thankful to GQS for this opportunity. Having agreed to this strategic acquisition, with GQS already being a global service provider in areas of quality & engineering support to numerous esteemed clients. We are now able to better service our clients, especially in Singapore and spearhead GQS’s further growth in other countries in the South East Asia region, with support from our new Singapore & existing Kuala Lumpur offices.

RSE has today announced the acquisition of Blackburn Starling & Co Ltd, one of the UK’s oldest engineering companies established in Nottingham in 1870.

In the early 1900s, the Blackburn & Starling reputation was built on electrical lighting contracts for London’s West End Theatres. Today the company is one of the UK’s largest designers and manufacturers of low and high-voltage switchboards and control systems, operating from a 4.5-acre purpose-built factory in central Nottingham.

RSE’s Managing Director Allan Dallas has heralded the deal as a pivotal move in establishing the company as the UK’s leading MEICA contractor to the Water Treatment & Water Recycling market:

When added to previously acquired businesses Saftronics and TCS, the Blackburn Starling deal establishes RSE as the largest control systems capability in the UK market. The additional technical skills and manufacturing capacity will enable RSE to fulfil the demand for its innovative modular treatment plants, whilst opening up new doors to customers in England and Wales.

The deal will see RSE take a 100% share in the business, backing a management buyout led by Operations Director Jason Smith.

Jason Smith commented on the deal:

The Blackburn Starling brand has an amazing heritage, and many of our 100+ staff have served the company for multiple years. We are expecting the transition into RSE to create new opportunities to grow the business and create opportunities for our employees. Whilst keeping the brand and heritage of the company intact, I’m excited to more closely integrate with the RSE teams throughout the country. We believe RSE’s modular technology offering is game-changing in the UK water sector, which was the management’s primary attraction to supporting the acquisition.

TCS is one of the UK’s largest independent designers and manufacturers of low voltage switchgear, motor control centers, relay protection panels and control panels. The acquisition of TCS also includes the continuation of the company’s successful Joint Venture TAP (Total Automation & Power), which provides systems integration to customers such as Thames Water, Yorkshire Water and Southern Water.

The deal will see RSE take up a majority equity share in the business whilst retaining the key skills of the TCS/TAP Team.

RSE Managing Director, Allan Dallas, commented:

The acquisition adds an additional 52 skilled resources and 3400 m2 of manufacturing capacity to our group, taking us over 1,000 employees in the UK. We were attracted to TCS by their reputation in the English water market, the electrical supply industry and the service benefits we could bring our customers with a more integrated approach.

Demand for our innovative water treatment technologies has also promoted the need for additional manufacturing capacity and technical skills. The acquisition makes RSE one of the largest single providers of automation and control systems in the UK water industry.

TCS Managing Director Jonathan Somers welcomed the acquisition as a boost for TCS’ growth ambitions:

The business has been under family and management ownership for 52 years and has a strong track record in the UK water and other sectors. We are hopeful that as part of the RSE family we will create new opportunities for our staff and enhance our current offering to the market. The role of automation and technology will play an increasing role in the industry’s drive to reduce carbon, and we are excited to be joining a sector specialist like RSE who invest so deeply in R&D to achieve its success.

Envoy’s cornerstone growth company RSE has announced its fourth acquisition in twelve months, securing a majority investment in Darlington-based Sheers

The company is a leading provider of modular chemical dosing and control systems for the water, chemical and energy sectors. When added to RSE’s existing facilities in Scotland and Basingstoke, Sheers consolidates RSE as the UK’s largest chemical dosing manufacturer to the UK municipal water market.

“We believe this will be important as the UK gears up for a wave of demand in the next 5-10 years.”

Commented Iain MacGregor, Envoy’s CEO.

“Increased regulation is heightening the requirements to engineer solutions that are good for the environment and cost effective. The use of chemical dosing to remove phosphorous from wastewater is one application that is expected to experience high demand in the coming years.”

“The addition of Sheers will ensure RSE have the technical talent and physical capacity to scale up to these needs as they emerge.”

RSE is an engineering group that specializes in Water Treatment & Clean Energy Solutions. Its 950+ staff are skilled in the design, engineering, and delivery of mechanical, electrical and automation services to the UK water sector.

Chemical Dosing is one specialist division of RSE that has attracted buy-and-build investment since the formation of Envoy in 2019. The company also invested in Basingstoke-based chemical dosing company WES in July 2020.

Envoy is backing a buy and build strategy to establish RSE as the UK’s largest specialist MEICA contractor to the water sector nationally. (MEICA: Mechanical, Electrical, Instrumentation, Controls & Automation). The first phase of this is targeting a £250 Million turnover enterprise, selling market leading technical solutions to water authorities and their tier one partners throughout the UK.  Sheers is expected to be the first of four acquisitions lined up in 2021.

The acquisition of chemical dosing specialists WES was the third acquisition within twelve months to bolster Envoy’s water treatment platform RSE.

The deal, which was first nurtured two years ago, is expected to deepen RSE’s strategic growth within the UK water sector and is hoped to address a wave of demand to tackle key environmental challenges across the UK.

The removal of Phosphorous from wastewater, for example, is expected to be a huge challenge for UK water companies in the next 5 years.  This will increase demand for specialist, modular and large-scale chemical dosing systems to meet the need.

The two-year conversation with WES management centred around the opportunity to bring local knowledge (WES) together with large scale manufacturing and engineering capability (RSE).  Envoy/RSE were attracted to WES for their range of complimentary products, their unique portfolio of temporary (hire) units, and their customer reputation in the southern areas of England & Wales.

The 2015 acquisition of Scottish chemical dosing company PSI was RSE’s first foray into M&A to support its growth ambitions.  Now an integrated part of the RSE family, this business has enjoyed 400% growth since joining the company.

Investment in larger facilities, state of the art equipment and its people has facilitated this growth – introducing innovative products and greater capacity for PSI’s existing customers. The WES acquisition hopes to replicate this success, and to remove the size constraints that are currently limiting WES’ growth.

Envoy CEO Iain MacGregor commented:

“Bringing this deal to fruition after two years of discussions will be a pivotal boost to the RSE growth story. We have long admired the WES business and we are grateful their owners are trusting us to support their journey to the next level. Having owned the business for 25 years, Kevin and Bob were rightly diligent in choosing a partner with aligned principles and culture for its next growth phase. We’ve learned at Envoy to be patient in developing relationships like this, and we will adopt a similar strategy in working with the management to unlock the true potential in this business.”

The WES management shareholders will remain with the business and its brand will be strengthened as part of the RSE Group.

Envoy are excited to welcome Avantis Marine to the group as the latest acquisition, aiming to target growth in carbon reduction and clean energy solutions for offshore markets.

Avantis is a worldwide expert in marine engineering, specialising in environmental performance and clean technologies for the shipping, oil & gas and passenger transport markets. The business is headquartered in the Marshall Islands, and operates from bases in the UK, Monaco, Dubai, Singapore and Miami

Commenting on the acquisition, Iain MacGregor, Envoy CEO, said:

“The world is turning its attention to carbon reduction and environmental awareness. Much of the Envoy portfolio seeks to address these themes, not just in new clean energy markets, but also in supporting traditional markets to improve their impact. In the utilities sector for example, Envoy’s group company RSE are finding new ways to build water treatment infrastructure with near carbon free impact on the planet."

“The Avantis acquisition gives Envoy the technical capabilities to support this effort in traditional offshore and marine markets.”

From exhaust gas cleaning systems for cargo ships, to ballast water treatment systems for cruise liners or improving the efficiency of an FPSO’s (floating production storage and offloading) boiler system – Avantis has a wealth of experience in multiple worldwide locations, with 200 employees based in strategic locations globally.

Avantis’ UK-based Managing Director, Tom David, commented:

“While the management are predominantly based in the UK, demand for our solutions often come from foreign markets. Our teams are currently completing major turnkey upgrades to Hawaii registered cargo ships afloat across the west coast of America & Canada. We also have projects throughout the Mediterranean on cruise ships, as well as work kicking off on FPSOs in Asia. Our experience on high pressure systems also takes the business into other onshore markets.”

Envoy has agreed to divest its interest in its recruitment portfolio Global Resources Network (GRN) – which includes the Maris Subsea and Granite Recruitment (formerly Expertec) brands. The deal marks a minor reorganization of the Envoy group, with John MacGregor trading equity in exchange for the de-merged operations of the portfolio.

envoy divest grml

John acknowledged the importance of the de-merger for the recruitment group team:

“We have enjoyed the period of ownership under the Envoy portfolio, but the growth opportunity in the recruitment businesses could only be realized with this independent view. We have begun to add depth to the business through the acquisition of Granite Recruitment (formerly Expertec) last year, and we now have our sights set on further exciting developments. The capital structure in place will enable the team to meet these ambitious growth plans.”

Iain commented on the deal:

“Since forming Envoy 18 months ago, John and I have maintained a view that the recruitment portfolio should be de-merged from the rest of the group. Its growth ambitions and funding requirements will benefit from independence – whilst bringing greater focus to the other platforms within Envoy. We had planned to safely extract the entity for some time now, and I expect John, Steven and the great team throughout this portfolio will continue to build an exciting business – even through these tough market conditions.”

Envoy is delighted to announce the major UK acquisition of ACIEM Group.

The acquisition – made via our engineering platform RSE (Ross-shire Engineering), which continues RSE’s drive to create sustainable local employment through its multi-market hedging approach – will see RSE take up a majority equity share in the business whilst retaining the key skills of the ACIEM Management Team.

ACIEM is a £14 Million revenue mechanical & electrical engineering business with experience of delivering clean and wastewater schemes in the UK. These range from small service jobs to complex design and build projects.

Envoy CEO Iain MacGregor commented:

We are delighted to welcome ACIEM into the RSE group of businesses. RSE have enjoyed great success exporting award-winning water treatment systems into the English market over the past year. To meet growing demand for the service it was key to bolster the management, engineering resources and trade level skills in the regions that RSE are experiencing growth. ACIEM is one of four acquisitions lined up for RSE in the coming year, which should take the company to over £100 Million in revenue.

Forty of ACIEM’s 60 staff are based in Leeds, close to the base of Saftronics, another recent RSE acquisition. RSE also announced the opening of a new 28,000 square foot manufacturing facility in Dewsbury.

RSE Managing Director, Allan Dallas, commented:

We expect the acquisition of ACIEM to further consolidate our position as leaders in our field. Against a backdrop of uncertainty in the Oil & Gas market, we continue to recruit skilled individuals from the sector locally in the Highlands, offering more predictable and longer-term employment prospects bolstered by our multi market approach and strategic acquisitions.

ACIEM have a strong reputation for smart engineering solutions, and they have a track record with multiple water authorities across England. We hope this will augment the export of our products and provide a deeper solution to the customer in these new territories for us. We have found in Scotland that combining products, projects and maintenance can enhance the value of our offering to the customer.

At Envoy we believe it is possible to invest in good owner managed businesses and achieve growth journeys to industry leading platforms within 5-7 years.

Whilst financial capital is an important part of this, we find that the biggest constraint is always the human stuff. We have learned that changing mindsets and behaviours to cross multiple ‘chasm-moments’ is the formula for winning and achieving these accelerated growth strategies.

We are active in teaching the concept of ‘servant leadership’, which is best visualised through an inverted organisation structure.

Typical Leadership Culture
Servant Leadership Culture

Traditional leadership generally involves the accumulation and exercise of power by one (or a few) at the “top of the pyramid”. Servant leadership shares power, puts the needs of others first and helps people develop and perform as highly as possible.

Like peeling an onion, the key is to work through the layers of the organisation and help each layer to find the voice of the people who work for them. This is never easy, and I commend any organisation that manages to implement the philosophy right to the shop floor. Where we have been lucky enough to realise this, the results are phenomenal.

As I sat with 18 of my colleagues yesterday, overlooking the amazing Forth bridges, I am reminded of advice we give those onion layers when we are trying to invert organisations to live upside down. Too often people in senior positions believe their employees should cross the bridge to meet their needs. They get frustrated when the employees don’t react to their instructions and demands. They accuse them of “not being competent enough” to cross over. They build barriers through governance to mitigate their perception of risk.

The role of a leader in a servant-led organisation is to cross the bridge to meet the employee at their side.

To simplify the request into a language the employee understands.

To build confidence in the employee.

To walk them back across – teaching if the opportunity presents.

Help the hidden layers find their voice then watch your business multiply and the best talent in your market queue up outside the door.

Envoy Managing Partner, Iain MacGregor, commented: “Our RSE business has developed as one of the country’s leading MEICA contractors in recent years. To meet growing demand for our service, we were attracted to Saftronics for its reputation, its technical skills and its 2,400 m2 manufacturing and testing facility in Leeds. It is our ambition to replicate this capability in Scotland to more locally service the needs of customers who enjoy the benefits of our innovative approach.”

Whilst creating new jobs in the North and East of Scotland, RSE Managing Director, Allan Dallas, highlighted RSE’s ambition to generate sustainable employment through its multi market hedging approach:

“Through the downturn we were able to attract skills from the Oil & Gas sector and then retain them within our multi market approach. We find that employees are attracted to a more predictable and longer-term employment status, which also provides job and industry variety.”
